Welcome to wappCAST. These Terms of Service (“Terms”) govern your access to and use of the wappCAST platform, website, dashboard, APIs, and related services (collectively, the “Service”), operated by wappCAST (“wappCAST,” “we,” “us,” or “our”).
By creating an account, purchasing a license, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Who We Are
wappCAST is a software platform that lets businesses send and manage WhatsApp messaging campaigns using the Official WhatsApp Business API provided by Meta Platforms, Inc. (“Meta”). We provide the dashboard, automation, broadcasting, inbox, analytics, and related tools. We do not own or operate WhatsApp.
wappCAST operates from Opp. Infinity Motors, Patorkuchi Road Basistha, Guwahati, Assam 781029, India.
2. Eligibility
To use the Service, you must:
- Be at least 18 years old and able to form a binding contract.
- Register an accurate, complete account and keep it updated.
- Use the Service for lawful business purposes only.
If you use the Service on behalf of a company or organisation, you confirm you have authority to bind that entity to these Terms.
3. Your Account
You are responsible for all activity under your account, including activity by your team members, sub-users, and (if applicable) your own clients. Keep your login credentials secure. Notify us immediately at info@wappcast.com if you suspect unauthorised access. We are not liable for losses arising from your failure to safeguard your account.
4. Licenses and Plans
We offer the Service under different plans, which may include annual subscriptions and one-time lifetime licenses, as described on our pricing page.
- Annual plans renew or expire as stated at purchase. Platform features remain available for the paid term.
- Lifetime licenses grant access to the licensed platform for as long as the Service is commercially operated by us, subject to these Terms. “Lifetime” refers to the lifetime of the product, not a perpetual guarantee independent of the Service’s continued operation.
A license grants you a non-exclusive, non-transferable right to use the Service. You may not resell, sublicense, or white-label the Service except under a reseller arrangement we have expressly approved.
5. Reseller and White-Label Use
If your plan includes reseller or white-label rights:
- You may onboard your own clients and present the platform under your own brand.
- You set your own pricing and bill your clients directly. We are not a party to your agreements with your clients.
- You are fully responsible for your clients’ use of the Service, including their compliance with these Terms, Meta’s policies, and applicable law.
- You must have your own terms and privacy policy in place with your clients, consistent with these Terms.
- You remain responsible to us for all fees and all activity under your reseller account and its sub-accounts.
We may suspend reseller access if a reseller or any of its clients violates these Terms or Meta’s policies.
6. Fees, Billing, and Taxes
- Platform fees are as listed on our pricing page at the time of purchase and are billed in advance.
- WhatsApp conversation charges are billed separately by Meta based on your usage and are not included in your platform fee unless we state otherwise in writing.
- All fees are exclusive of applicable taxes (including GST), which you are responsible for paying.
- Payments are processed through third-party processors (such as card networks, PayPal, RazorPay, and UPI). We do not store full payment card details.
7. Refund Policy
All sales are final. Platform subscription fees, one-time license fees, and WhatsApp conversation charges are strictly non-refundable under any circumstances. We encourage users to evaluate the Service and build automation flows during our 7-day trial period prior to making a purchase decision.
8. Acceptable Use
You agree NOT to use the Service to:
- Send spam, unsolicited messages, or messages to people who have not opted in, in violation of Meta’s policies or applicable law.
- Send unlawful, fraudulent, deceptive, harassing, hateful, or harmful content.
- Violate the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, or any Meta terms.
- Distribute malware, attempt to breach security, scrape, or overload our systems.
- Infringe anyone’s intellectual property or privacy rights.
- Resell or expose the Service outside an approved reseller arrangement.
You are solely responsible for the content of your messages, your contact lists, and obtaining valid consent from your recipients. Violations may result in number bans by Meta, suspension by us, or both. We do not guarantee that any number will avoid restriction; compliance is your responsibility.
9. Compliance with Meta and WhatsApp
Your use of the Service is also subject to Meta’s and WhatsApp’s terms and policies. Meta may change, suspend, or restrict API access at any time. We are not responsible for actions taken by Meta, including number bans, template rejections, pricing changes, or service interruptions on Meta’s side.
10. Your Data and Your Clients' Data
You retain ownership of the contacts, content, and data you upload (“Your Data”). You grant us a limited license to process Your Data solely to provide the Service. You are responsible for having a lawful basis and necessary consents to collect and message your contacts. How we handle personal data is described in our Privacy Policy.
11. Service Availability
We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or changes. We are not liable for downtime caused by Meta, hosting providers, or other third parties outside our control.
12. Intellectual Property
The Service, including its software, design, and branding, is owned by us and our licensors. Except for rights expressly granted (including approved white-label use), nothing in these Terms transfers any ownership to you. You may not copy, modify, reverse-engineer, or create derivative works of the Service.
13. Suspension and Termination
We may suspend or terminate your access if you breach these Terms, fail to pay fees, violate Meta’s policies, or use the Service in a way that creates risk for us or others. You may stop using the Service at any time. On termination, your right to use the Service ends. We may delete your data after a reasonable retention period, except where retention is required by law.
14. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant any specific results, open rates, reply rates, deliverability, or revenue outcomes. Any figures shown on our website are illustrative, not guarantees.
15. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service.
16. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your messaging, your clients’ use (if you are a reseller), or your breach of these Terms or applicable law.
17. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new “Last updated” date and, where appropriate, notify you. Continued use of the Service after changes means you accept the updated Terms.
18. Governing Law and Disputes
These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts at Guwahati, India.
